Former GAO CTO Joins QNA, MSG

QinetiQ North America’s Mission Solutions Group, a leading provider of mission-critical professional services to Federal government clients, named Keith Rhodes, Senior Vice President and Chief Technology Officer.
Past recipient of the Arthur Flemming Medal for Applied Science, Mr. Rhodes comes to QNA with 20 years of government service. Most recently, he served as the Chief Technologist and Director for the Government Accountability Office’s Center for Technology and Engineering. As CTO, Mr. Rhodes served as the lead technical advisor to the Legislative Branch on issues requiring significant technical expertise. Mr. Rhodes also established a capacity within GAO for executing technology assessments and has delivered testimony, advice, presentations and papers regarding cyber-security, critical infrastructure and IT modernization programs.
“Keith Rhodes’ extensive experience as a government CTO, combined with his knowledge and respect as a scientist, uniquely qualifies him to lead the Mission Solutions Group’s Technology efforts,” said Michael Stolarik, President of Mission Solutions Group. “I believe that this unique combination of government experience and scientific expertise will contribute to the successful implementation of MSG’s strategy.”
In addition to Mr. Rhodes tenure at GAO, he also served as a supervisory scientist at Lawrence Livermore National Laboratory. At the National Laboratory, he managed and led the design, development and testing of a prototype space and ground based secure communications segment of a DoD strategic defense system.
Keith Rhodes holds degrees in Computer Engineering from the Ohio State University and Engineering Physics from the University of California, Los Angeles.
QinetiQ North America Wins Counterintelligence Field Activity (CIFA) Contract with Maximum Value of $30 Million

QinetiQ North America (QNA) announced today its Missions Solutions Group (MSG) has been awarded a five-year, $30 million contract with the Department of Defense Counterintelligence Field Activity (CIFA).
QNA’s MSG (formerly Analex) is a leading provider of mission-critical professional services to federal government clients. MSG’s Security and Intelligence Business Unit will provide a wide range of security support services to CIFA primarily in the National Capital Region. Originally awarded a predecessor contract in December 2003, this contract award will provide support to CIFA for five more years. Over the past four years, QNA has repeatedly been identified as a pioneer in planning and executing the protection of government personnel, critical infrastructure and sensitive defense programs.

QinetiQ North America Awarded $24 Million SPAWAR Task Order

QinetiQ North America (QNA) announced today that the US Department of the Navy, Space and Naval Warfare Systems Command (SPAWAR) has awarded its Mission Solutions Group (MSG) a five year, $24 million task order.
QNA MSG will provide the SPAWAR Office of the Chief Engineer (CHENG), Technical Authority Execution Department 054, with Systems Engineering Technical Support to include: systems engineering technical review process execution; technical studies; and acquisition technical documentation drafting.

QinetiQ North America’s Mission Solutions Group Wins Army Research and Technology Protection Contract with Maximum Value of $35.8 Million

QinetiQ North America’s Mission Solutions Group (QNA MSG), a leading provider of mission-critical professional services to federal government clients, announced today that its Security and Intelligence Business Unit has been awarded a five year Firm Fixed Price contract with the U.S. Army to operate the Army Research and Technology Protection Center (ARTPC). Under the terms of the contract, QNA will provide research and technology protection (RTP) expertise and support to research and engineering centers and acquisition programs throughout the Army. QNA MSG’s Security and Intelligence Business Unit was first awarded this contract in 2002 to establish and operate the ARPTC under the oversight of the Army G2. Over the past five years, the ARTPC has repeatedly been identified as a pioneer in RTP process development and a model for planning and executing technology protection of sensitive defense programs. The contract was re-competed this summer.

QinetiQ Group plc acquires Analex Corporation for $173m

QinetiQ Group plc announces today that it has signed a definitive merger agreement to acquire Analex Corporation (“Analex”), continuing the execution of its strategy to grow its North American operations. Under the terms of the agreement, which is conditional upon regulatory clearance in the United States, QinetiQ will offer to acquire all of the outstanding shares of Analex for $3.70 per share, or an aggregate equity price of approximately $173m. The consideration will be paid in cash from existing banking facilities and the transaction is expected to complete in March 2007.
Analex is a US public listed company (American Stock Exchange: NLX). Holders of approximately 58.8 per cent of the fully diluted equity of Analex have agreed to tender their shares in the offer and to vote in favor of the definitive merger agreement and against any other transactions, subject to the provisions of the agreement.
Headquartered in Fairfax, Virginia, with 11 locations around the US, Analex is a leading provider of high technology professional services and solutions, principally to the US Government and its agencies. Analex specializes in providing innovative information technology, aerospace engineering and security and intelligence support services for defense, intelligence and space programs.
Analex provides QinetiQ with new customers and contract opportunities as well as broadening the range of service offerings to the existing customer base of the Group. Principal customers include the US Missile Defense Agency (MDA), US Army, US Navy, DARPA, and NASA. Analex is also well positioned with intelligence customers some of which it has worked with for more than 20 years.
Analex employs approximately 1,100 people, most of whom have security clearances. The addition of this skilled workforce with security clearances significantly enhances the Group’s operational capabilities in North America. Approximately 70 per cent of Analex personnel work on customer sites and around half of its workforce is located in the Washington, D.C. area.
Analex had revenues of $150.3m for the 12 months ended 30 September 2006, EBITDA of $14.5m, and profit before amortization of acquired intangible assets, interest and tax of $13.6m. At 30 September 2006 the business had gross assets of $123.1m and a total contract backlog of $413.0m, of which $56.0m was funded. Approximately 80 per cent of its revenue is derived from prime contracts, with a broad mix by contract types (60:40 firm fixed price/time and materials versus cost reimbursement).
Commenting on the agreement, QinetiQ’s chief executive officer Graham Love said: “Analex promises to be an excellent addition to the QinetiQ North America business profile, providing important new customer relationships within the US security agencies, the Department of Defense and NASA as well as broadening our existing service offerings. Having recently secured a number of new contracts, Analex offers growth and margin prospects consistent with expectations for QinetiQ’s existing North American business and we expect the acquisition to be immediately earnings enhancing for QinetiQ.”
He continued: “Analex will further enhance QinetiQ North America’s position to be able to bid for a wider range of significant opportunities in the defense and security market place in North America.”
